    1. Any net new customers to Windows Virtual Desktop (WVD) that sign up after 29th March 2021, and prior to July 31st, 2021 may be eligible to receive the following:
      • 90 Days free of Nerdio Licensing *
      • Go-Live Engineer to support your team in your first Windows Virtual Desktop (WVD) deployment
      • 10 Not For Resale (NFR) Licenses being licences that must be used for internal purposes only

    *Regarding the free Nerdio licenses in this program,
    • there will be a limit of 25 users up to the spend of $1,350 AUD per partner over the 90 days; and
    • 90 days of free usage starts from the first day of deploying the Nerdio software as specified in the Nerdio portal
    The Partner will continue to receive invoices from rhipe in relation to the licensing cost, such cost will be discounted.

    2. Partner agrees:
    • to comply with all laws to the extent that it relates to its obligations.
    • to comply with any lawful directions issued by rhipe in relation to the program
    3. rhipe will:
    • provide the services using adequately trained professionals; and
    • comply with laws to the extent that it relates to its obligations
    4. Any intellectual property created by rhipe arising out of or in connection with this program, upon creation will vest wholly in rhipe. Partner acquires no ownership of copyright or other Intellectual Property Rights or proprietary interest in the services or copies thereof.

    5. Both parties agree to keep confidential information (including but not limited to information disclosed by or on behalf of either party in association to this program, but excludes any information that is part of the public domain other than through a breach of this agreement, or was known to the receiving party at the time of disclosure) confidential and not directly or indirectly disclose, divulge or communicate that Confidential Information to or otherwise place that Confidential Information at the disposal of, any other person without our prior written approval.

    6. rhipe may collect personal information including but not limited to full name, email, address and may disclose such personal information to third parties, including but not limited to agents, contractors, service providers or as required or applicable to Australian regulatory authorities.     7. rhipe exclude all representations, warranties or guarantees, whether express or implied, by statute, trade or otherwise, including without limitation that the products and/or services are or will be complete or free from errors or that information will continue to be available to us to enable us to keep the services up to date. 

    8. rhipe (including its affiliates) will not be liable to you for loss, injury, claim, liability, damage of any kind resulting in any way from any errors in or omissions from the Products and/or Services, the unavailability or interruption to the supply of the products and/or services, your use or misuse of the products and/or services (regardless of whether you received any assistance from us or any other third party in using or misusing the products and/or services), your use of any equipment in connection with the products and/or services, any delay or failure in performance beyond rhipe or the Vendor’s reasonable control, or any negligence of rhipe in connection with the performance of our obligations under these terms (other than liability for death or personal injury).

    9. rhipe may subcontract any part or the whole of the services at any time without notice to Partner

    10. rhipe may vary these terms at any time with five (5) days’ notice to you.
