    Terms and Conditions

    Up to 2 months FREE Backup365 (“Promotion”)  

    • Offer commences on November, 30th 2020 and is valid until December 31st, 2020 (“Promotion Period”). 

    • This Promotion applies to any existing or net new rhipe Partner that wants to partner with Backup365 to resell any of the products from the Backup365 offerings. 

    • The partner must sign up and provision through rhipe on or before December 31st 2020. Any net new end customer tenants will be FREE until 31st January 2021. Any consumption thereafter will be fully chargeable and invoiced as such. 

    • The Promotion will be managed by rhipe via the orders provisioned through PRISM. rhipe will credit any applicable invoices after the conclusion of this offering, in the next billing period of March 2021. 

    • This promotion cannot be combined with other promotions. 

    • Applicable only for new signed end customer tenants contracts during the Promotion Period. 

    • Offer is valid in ANZ and Fiji only 

    • Backup365 normally stores all customer data for 30 days from the requested termination date of the service. Due the nature of this promotion, all data will be deleted immediately upon termination of the service, if this occurs prior to 1st of February 2021. 

    • The Promotion is subject to availability. Backup365 and/or rhipe reserves the right to change, vary, update or modify the terms of the Promotion at any time.  

    • Backup365 and/or rhipe reserves the right to suspend, cancel or terminate this Promotion at any time.  

    • Partner acknowledges and agrees that in participating in this promotion, it and its end users may be subject to any third-party vendor supplier terms and conditions that must be complied with.  

    • Each Partner must comply with terms and conditions including any special terms and conditions outlined.  

    • Partners must not:  

      • engage in any conduct that may jeopardise the fair and proper conduct of the Promotion;  

      • do anything to diminish the reputation of rhipe, rhipe’s Affiliates or Backup365;  

      • breach any laws; or  

      • behave in any way that is otherwise unprofessional or inappropriate.  

    • Except for any liability that cannot by law be excluded, rhipe or any of its  respective officers, employees and agents (“Affiliates”) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity or loss of profits); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the rhipe’s control); (b) any theft, unauthorised access or third party interference; (c) any variation in value to that stated in these Terms and Conditions; or (e) any tax liability incurred by a Partner. 

    • rhipe may collect your personal information including but not limited to full name, email, address, in order to conduct the Promotion and may, for this purpose, disclose such personal information to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required or applicable, to Australian regulatory authorities. Entry is conditional on providing the personal information requested. rhipe will use and handle personal information as set out in its Privacy Policy, which can be accessed at https://www.rhipe.com/about/privacy-policy/. 

    • rhipe may, at any time, request from Partner, any proof or evidence of performance or compliance with these terms and conditions. If this Promotion cannot run as planned for any reason beyond the rhipe’s control, due directly or indirectly,  software, hardware or communications issues, unauthorised intervention, tampering, fraud or technical failure, act of God, wars, strikes, lockouts, industrial action, floods, fires, accident, earthquake, riot, explosion, terrorism, acts of government, military, civil or regulatory authority, delays or defaults of manufacturers or suppliers, change in any law or regulation, disruption or interruption to the supply of communications, internet, power or other utility or any other cause beyond our reasonable control, rhipe may end, change, suspend or cancel the Promotion.
